This is a working draft of Asha's Terms of Service, published as part of pre-launch compliance preparation. Subject to legal review before public launch. Use of Asha during pre-launch / TestFlight is subject to these terms even in draft form.
The most important point. Asha is an AI-powered tool that produces guidance about whether you should seek a second opinion from another doctor. Asha is not a doctor, hospital, or licensed medical practitioner. Asha does not diagnose, prescribe, or treat. Always discuss treatment decisions with a qualified physician.

1. Acceptance of Terms

By creating an account, downloading the Asha mobile app, or using the Asha website at withasha.com, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use Asha.

2. Eligibility

You must be 18 years of age or older to use Asha. If you wish to consult on behalf of a child, you must be the child's parent or legal guardian and act in that capacity. The signup flow requires confirmation of your age.

3. What Asha is

Asha is a mobile and web application that uses an AI panel of specialty agents to review case descriptions you provide and generate guidance about whether you should seek a second opinion from another doctor. The AI panel includes specialty-themed agents such as Pediatrics, Internal Medicine, Cardiology, Neurology, and others. Each agent reviews the case from its specialty's lens, and a chair agent synthesizes a top-line recommendation about whether to consult another physician.

5. Beta tester obligations

This Section 5 applies only while Asha is in pre-launch beta and you are a tester invited via TestFlight or any other private channel. It applies in addition to all other Sections of these Terms. Where Section 5 conflicts with another Section in respect of beta use, Section 5 controls during the beta period.

5.1 Confidential information

"Confidential information" means anything non-public that you observe, receive, or generate while testing Asha during the beta. This includes, without limitation: the app and its user interface, screenshots and screen recordings, build numbers, the wording and behavior of the AI persona Ralph, the AI panel's verdicts and reasoning, defects and bugs you discover, internal release notes, our roadmap, and any business or technical information we share with you privately.

Confidential information does not include information that is publicly available without your involvement, that you can demonstrate you knew before being invited to the beta, or that you receive from a third party who is not bound by a confidentiality obligation to us.

5.2 Your beta-tester obligations

As a condition of participating in the beta, you agree:

Your obligations under this Section 5 begin on your first use of the beta and continue until the earlier of (i) the date Asha is announced as generally available to the public, or (ii) two years after your first use of the beta. Obligations concerning information you know or reasonably should know to be sensitive. Including security vulnerabilities, internal credentials, and unreleased plans. Survive indefinitely.

5.4 No warranties; no clinical reliance during beta

The beta is provided strictly on an "as-is" basis. Ralph and the AI panel may produce output that is wrong, incomplete, or misleading. That is part of what the beta is designed to surface. You agree not to rely on the beta to make any medical decision without independent consultation with a qualified physician. We disclaim all liability for any decision you or any third party makes on the basis of beta output. Nothing in the beta constitutes a diagnosis, prescription, or treatment plan.

5.5 No license; reservation of rights

Your participation grants you a limited, revocable, non-transferable, non-exclusive license to use the beta solely for testing purposes. No other rights are granted. All right, title, and interest in and to Asha. Including the prompts that drive Ralph and the panel, the AI personas, the brand, the source code, the model behavior, and all underlying technology. Remain with the Asha team and his successors.

5.6 Remedies

You acknowledge that breach of this Section 5 may cause harm to us that monetary damages alone cannot adequately remedy and that we are entitled to seek injunctive or other equitable relief in addition to any other remedies available under law, without the requirement to post a bond, to the extent permitted by Indian law.

Asha is provided on an "as-is" basis. To the maximum extent permitted by law:

Nothing in these Terms excludes or limits liability that cannot be excluded under Indian consumer-protection law (Consumer Protection Act 2019).

8. Privacy

Use of Asha is also governed by our Privacy Notice, which describes how we collect, use, share, and protect your personal data in accordance with the Digital Personal Data Protection Act 2023 (DPDPA), the Information Technology Act 2000, and related rules.

9. Intellectual property

Asha, including its name, logo, application, and content (excluding case data you submit), is the intellectual property of the operators of Asha. You retain rights to the case data you submit; we use it only to operate the service per our Privacy Notice.

10. Termination

You may terminate your account at any time by deleting it from within the app or by emailing support@withasha.com. We may terminate or suspend access to Asha for violations of these Terms or applicable law, with reasonable notice where practicable.

11. Grievance redressal

For grievances regarding your data or these Terms, please contact our grievance officer per the Grievance Officer page. We will acknowledge within 24 hours and respond substantively per applicable timelines.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

13. Changes

We may update these Terms from time to time. Material changes will be communicated via email to your registered address. Continued use of Asha after changes take effect constitutes acceptance of the updated Terms.
